1(2) LEMMINKÄINEN CORPORATION STOCK EXCHANGE BULLETIN 15.2.2006, 11.45 SUMMONS TO ANNUAL GENERAL MEETING OF LEMMINKÄINEN CORPORATION The shareholders of Lemminkäinen Corporation are summoned to attend the Annual General Meeting, which will be held at 3.00 p.m. on Friday, 17 March 2006 at the Hotel Palace, 10th floor, Eteläranta 10, 00130 Helsinki. Items on the agenda The Annual General Meeting will deal with those items specified in §11 of the Articles of Association. Composition of the Board of Directors, the Auditor and fees Shareholders representing approximately 65 % of the voting rights in the Company have announced that they will propose and recommend to the AGM - that the number of board members be confirmed as five, - that the present members of the Board of Directors, i.e. Messrs. Berndt Brunow, Heikki Pentti, Erkki J. Pentti, Teppo Taberman and Sakari Tamminen, be re-elected to serve for the next term of office, and - that fees of EUR 2,200 per month be paid to the members of the Board of Directors and EUR 11,000 per month be paid to the Chairman of the Board. The above-mentioned shareholders have also announced that they will propose and recommend to the AGM that Authorised Public Accountants PricewaterhouseCoopers Oy be elected as the Companys Auditor and that the Auditor be paid a fee as per the invoice presented for auditing services. Right to participate in the meeting Shareholders registered on the Companys list of shareholders kept by the Finnish Central Securities Depository Ltd as of 7 March 2006 shall be entitled to attend the Annual General Meeting. Any shareholder whose shares have not been transferred to the book entry system for securities shall also be entitled to attend the Annual General Meeting, provided that the shareholder was recorded on the Company's share register before 28 October 1994. In this case the shareholder shall present at the AGM his/her share certificate or some other evidence that the ownership right has not been assigned to a book entry account. Registration Shareholders wishing to attend the AGM must inform the Company by 2 p.m. on Tuesday, 14 March 2006 at the latest. Any instrument of proxy must also be submitted to the Company by the same deadline. Financial statements Copies of the financial statements will be available for inspection at the Company's head office at Esterinportti 2, 00240 Helsinki from 9 March 2006. Copies of the financial statements will be sent to shareholders upon request. Proposal for the appropriation of retained earnings The Board of Directors will propose to the Annual General Meeting that a dividend of EUR 1.00 per share, i.e. a total of EUR 17,021,250,00 be paid for the accounting period 1 January 31 December 2005. The dividend will be paid to shareholders recorded on the Company's list of shareholders kept by the Finnish Central Securities Depository Ltd on the record date, i.e. 22 March 2006. The dividend payment date will be 29 March 2006.
